1. OVERVIEW

High Street Grappling ("we," "us," "our") operates as a private club located at 177 High Street, Mactier, Ontario, Canada. We offer Brazilian Jiu-Jitsu training, including private classes, monthly memberships, and yearly memberships. Membership and access to our facilities and services are contingent upon acceptance of these Terms & Conditions, our Private Club Charter, and any applicable criteria.

2. PRIVATE CLUB CHARTER

High Street Grappling operates as a private club rather than a commercial business. Our facilities and services are accessible only to members who meet specific criteria and are approved on a case-by-case basis. Membership is not guaranteed and may be denied at our sole discretion. We reserve the right to evaluate, accept, or reject membership applications based on our charter and club policies.

3. MEMBERSHIP CRITERIA

Before purchasing lessons or memberships, users must:

Eligibility: Be at least 18 years old. If under 18, a parent or guardian must sign on behalf of the minor.

Health Requirements: Be in good health and capable of participating in physical activities. A medical clearance may be required.

Behavioral Standards: Agree to adhere to the club's code of conduct and respect the rights and safety of other members.

Application Approval: Understand that all memberships and lesson purchases are subject to approval by High Street Grappling. We reserve the right to deny any application or purchase at our discretion.

4. MEMBERSHIP POLICY

4.1. 10-Day Cooling-Off Period

In accordance with Ontario law, you may cancel any membership type (yearly, quarterly, or monthly) within 10 days of purchase for a full refund. Cancellation requests must be submitted in writing within this period.

4.2. No Refunds After Cooling-Off Period

After the 10-day cooling-off period, all sales of memberships (yearly, quarterly, or monthly) are final. No refunds will be issued, regardless of the reason.

4.3. Membership Freezing

Yearly Memberships: Members may freeze their membership for up to 2 months per year due to temporary circumstances (e.g., injury, travel). This option is available once per year, with written approval required.

Quarterly Memberships: Members may freeze their membership for up to 1 month per quarter. This option is available once per quarter, with written approval required.

Monthly Memberships: Memberships cannot be frozen. Members are encouraged to consider this before purchasing.

4.4. Non-Transferable Memberships

All memberships (yearly, quarterly, or monthly) are non-transferable and cannot be credited for future use.

4.5. Exceptional Circumstances

In rare cases (e.g., severe injury), members may request consideration for a partial refund or alternative arrangements. Such requests are subject to management approval.

4.6. Membership Agreement

By purchasing any membership type, you agree to these terms. Please consider your commitment carefully before purchasing.

5. USE OF SERVICES

By using our services, you acknowledge that:

Private Club Status: High Street Grappling is a private club, and access is limited to members and their invited guests.

Acceptance of Risks: Participation in our activities involves risks, including serious injury, illness, or death. You assume all risks associated with your use of our facilities and participation in activities.

6. WEBSITE AND eCOMMERCE STORE

Platform: High Street Grappling uses the WIX platform for eCommerce transactions, including the purchase of single training sessions, monthly passes, 6-month passes, and private lessons.

Purchases: All purchases made through our website are subject to these Terms & Conditions. By completing a transaction, you agree to the terms outlined here and acknowledge that your purchase is final and non-refundable except as expressly provided.

Data Protection: We take reasonable measures to protect your personal information and transaction details. However, by using our eCommerce store, you acknowledge that while we strive to protect your data, no system is entirely secure.

7. WAIVER & ACKNOWLEDGEMENT AND RELEASE

By signing this document, you waive the right to bring a court action to recover compensation or obtain any other remedy for personal injuries, damage to property, loss of property, accidents, or death arising from your use of High Street Grappling’s facilities or participation in any Gym Activities. This waiver includes:

Scope of Release: All claims against High Street Grappling, its officers, directors, shareholders, employees, volunteers, instructors, participants, users, property owners, and affiliates.

Assumption of Risks: You acknowledge that the Gym and Gym Activities may involve serious risks, including bodily injury, disability, and death, which may result from your actions or the actions of others.

Liability: You release and discharge High Street Grappling and its affiliates from all liability, claims, and demands arising from your use of the facilities or participation in activities. You agree to indemnify High Street Grappling for any claims made against it despite this waiver.

8. GENERAL CONDITIONS

Access & Conduct: We reserve the right to refuse service or access to anyone for any reason. All activities must be conducted in accordance with our club rules and policies.

Liability Limitation: Except for liability that cannot be excluded by law, our liability to you for any claim arising from your use of our facilities or services is limited to the amount paid for the services in question.

Force Majeure: We are not liable for any failure to perform our obligations due to events beyond our control, including natural disasters, pandemics, government restrictions, or other emergencies.

Severability: If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Governing Law: These Terms & Conditions are governed by the laws of Ontario, Canada. Any disputes arising under these Terms will be subject to the jurisdiction of Ontario courts.

9. INTELLECTUAL PROPERTY

All content, branding, and materials related to High Street Grappling are the property of High Street Grappling. Unauthorized use of our intellectual property is prohibited.

10. PRIVACY POLICY

Your use of our website and services is governed by our Privacy Policy, which details how we collect, use, and protect your personal information. By using our services, you consent to the terms of our Privacy Policy.

11. DISPUTE RESOLUTION

Arbitration: Any disputes arising under these Terms & Conditions will be resolved through binding arbitration in accordance with the laws of Ontario, Canada. The arbitration will be conducted in Ontario.

Mediation: Prior to arbitration, parties may attempt to resolve disputes through mediation.

13. MODIFICATIONS

We reserve the right to modify our Terms & Conditions, Private Club Charter, and membership criteria at any time. It is your responsibility to review these documents regularly. Continued use of our services constitutes acceptance of any changes.

14. GOVERNING LANGUAGE

These Terms & Conditions are provided in English. In the event of a discrepancy between translations, the English version shall prevail.

15. ACKNOWLEDGMENT OF UNDERSTANDING

By using our services or accessing our facilities, you explicitly agree that you have read, understood, and accepted these Terms & Conditions, including our Private Club Charter and Waiver & Acknowledgement and Release.

16. CONFIDENTIALITY

We will take reasonable steps to protect any confidential information you provide. By using our services, you consent to our handling of your personal information as described in our Privacy Policy.

17. REVIEW AND UPDATE CLAUSE

These Terms & Conditions will be reviewed periodically and updated as necessary. It is your responsibility to review the latest version of these documents. Continued use of our services constitutes acceptance of any modifications.

19. RECORD KEEPING

20. INSURANCE

Members are responsible for their own insurance coverage. High Street Grappling maintains general liability insurance for the facility but does not cover individual medical expenses or personal injury claims.
